Non-Exclusive
Beat License Agreement
One payment. Unlimited lawful use. No credit, royalties, publishing splits, backend, reporting, or usage caps. The MP3, WAV, and Premium tiers differ only by the files delivered.
1. Parties and acceptance
This Non-Exclusive Beat License Agreement (the “Agreement”) is between Carter Harris, professionally known as AWESXME (the “Licensor”), and the person or entity identified by the Stripe checkout email (the “Licensee”). The Agreement becomes effective only after full payment and electronic acceptance at checkout. The Stripe receipt and purchased beat and license tier are incorporated into this Agreement.
2. One-time, no-strings license
Once the one-time purchase price is paid, Licensor grants Licensee a fully paid-up, perpetual, worldwide, royalty-free, non-exclusive license to use the purchased beat. No recurring payment, renewal, accounting, reporting, approval, or additional permission is required. The MP3, WAV, and Premium tiers provide the same usage rights and differ only by the audio files delivered.
3. Anything the buyer creates
Licensee may use, copy, edit, alter, remix, sample, arrange, combine, reproduce, distribute, sell, monetize, publicly perform, broadcast, synchronize, and otherwise exploit the beat in any lawful song, recording, video, film, game, advertisement, performance, social post, project, product, or format now known or later developed. Licensee may create and release unlimited projects from the beat and may authorize collaborators, labels, distributors, publishers, platforms, clients, and service providers to use those projects.
4. No royalties, splits, or credit
Licensee owes Licensor no master royalties, mechanical royalties, performance royalties, publishing income, synchronization fees, revenue share, “backend,” or other payment beyond the purchase price. Licensor claims no songwriting or publishing split in Licensee’s projects. Licensee keeps one hundred percent of the revenue generated by Licensee’s projects. Licensee does not have to credit AWESXME or disclose that the beat was licensed.
5. No usage caps
There is no limit on the number of songs, projects, streams, views, downloads, sales, copies, performances, broadcasts, videos, advertisements, placements, platforms, territories, or revenue. Licensee does not need to upgrade a license because a project becomes successful.
6. Files and delivery
The MP3 Lease includes an MP3 delivered through the verified order page. The WAV Lease includes the immediate MP3 plus a WAV delivered manually to the checkout email within one to five business days after successful payment. The Premium Lease includes the immediate MP3 plus a WAV and available stems delivered manually to the checkout email within one to five business days after successful payment. The file format changes by tier; the license rights do not.
7. Ownership and non-exclusive status
Licensor keeps ownership of the underlying beat so Licensor may continue using it and granting the same license to other buyers. Licensee owns Licensee’s lyrics, vocals, performances, recordings, edits, and other original material added to the beat, subject only to Licensor’s ownership of the preexisting beat. This purchase does not transfer exclusive ownership of the underlying beat, and it does not stop Licensor or another authorized buyer from using it. Exclusive rights require a separate written agreement.
8. Registration and non-interference
Licensee may register and protect Licensee’s finished projects and original contributions. Because the underlying beat remains non-exclusive, Licensee may not claim exclusive ownership of the beat itself or knowingly use Content ID, copyright takedowns, or similar claims to block AWESXME or another authorized buyer solely because the same beat appears in their work. This is the only use restriction and exists only to preserve every buyer’s identical non-exclusive rights.
9. Refunds and delivery problems
All sales are final once MP3 download access is provided. Duplicate charges will be refunded. If AWESXME delivers the wrong or a materially defective file, AWESXME will replace it. If AWESXME cannot provide the purchased files within the promised delivery period, the affected license will be refunded. This policy does not limit rights that cannot legally be waived.
10. General terms
This Agreement and the Stripe order record are the complete agreement for the purchased non-exclusive license unless both parties sign a later writing. The license is effective after successful payment and remains effective permanently; a fraudulent payment or reversed charge means no license was purchased. This Agreement is governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Any lawsuit arising from this Agreement must be brought exclusively in the state courts located in Cook County, Illinois, or, if federal subject-matter jurisdiction exists, the United States District Court for the Northern District of Illinois, and each party consents to personal jurisdiction there.
